In-house Legal Counsel

DST are looking for a In-house Legal Counsel to provide general legal advice and support to the DST Group's business units and corporate support functions; and to participate in and promote the initiatives and objectives of the SS&C Group Legal Function.

Main Responsibilities

Commercial Contracts

  • To review, draft and negotiate legal agreements with clients, suppliers and counter-parties.

Governance & Legal Risk Management

  • To assist with the maintenance and enforcement of DST & SS&C Group policies and procedures, in particular those governing the signature of contracts.
  • To participate in the risk management activity of the business including if required by attendance at risk committees.

Dispute Resolution

  • To advise on disputes and claims between the company and third parties.

Company Secretarial

  • To assist, if required, with company secretarial duties and tasks.
  • To assist, if required, with mergers, acquisitions, restructuring and other corporate activity.

HR Support

  • If required, to provide advice and support to the HR team in connection with staff disputes, claims, grievances and other legal issues arising.

Departmental

  • Participation in the administration of the legal team, including adhering to reporting requirements and ensuring the proper filing and storage of legal documentation.
  • Maintenance and development of legal templates and collateral.
  • Assistance with the administration of departmental risk assessments and procedures.
  • Maintenance of a clear understanding of the corporate procedures and group structure.
  • Assisting the business to take the necessary steps to remain compliant at all times with applicable regulation.
  • Management of, and liaison with, external counsel assisting on particular matters.

Knowledge and Technical Skills:

  • Appropriate professional legal qualifications and/or experience.
  • Excellent communication skills.
  • Ability to build strong and trusted relationships with internal teams and external stakeholders.
  • Good knowledge, and a competent user, of Microsoft Office applications (particularly Word, PowerPoint and Excel.
  • Ability to simplify and demystify complex legal issues.
  • Ability to negotiate and draft commercial contracts independently.
  • Ability to organise, prioritise and manage a heavy workload and to meet tight deadlines.

Desirable

  • Experience of working within the financial services industry and regulated firms.
  • Experience of drafting and negotiating IT contracts.
  • Experience of employment law.
